Terms of Service

1. Acceptance of Terms

By creating an account or using Nubex ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms form a binding agreement between you and Leonenko Group LLC ("Nubex", "we", "us", "our").

2. Description of Service

Nubex is a cloud cost optimization platform that connects to your cloud provider accounts (AWS, Azure, GCP) to:

• Scan for idle, underutilized, or wasteful cloud resources
• Identify potential cost savings across your infrastructure
• Generate remediation scripts and recommendations
• Provide cost trend dashboards and periodic reports

Nubex is a read-only tool. We analyze your cloud infrastructure but do not make any changes to your cloud resources.

3. Cloud Account Access

To use Nubex, you must grant read-only access to your cloud provider accounts. By connecting your cloud accounts, you represent and warrant that:

• You have the authority to grant such access
• You will only provide the minimum permissions required (Reader/Viewer role)
• You understand that Nubex will read metadata about your cloud resources
• You are responsible for the security of the credentials you provide
• You will revoke access credentials when you no longer wish to use Nubex

We encrypt all cloud credentials using AES-256-GCM before storage. However, you are ultimately responsible for the security of credentials shared with third parties including Nubex.

4. Account Registration and Trial

You must create an account to use Nubex. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

New accounts receive a 7-day free trial with full access to the platform. No credit card is required to start the trial. After the trial ends, you must subscribe to a paid plan to continue using the Service. Your data and connected accounts are retained for 30 days after trial expiry before deletion.

5. Payment Terms

• Paid subscriptions are billed monthly or annually via Stripe
• Subscription fees are non-refundable except as required by law
• If payment fails, we may suspend or terminate your account after reasonable notice
• Prices may change with 30 days notice. Continued use after a price change constitutes acceptance
• Annual plans are billed upfront for the full year

6. Security Responsibility

You are responsible for:

• Maintaining the security of your Nubex account credentials
• Using the principle of least privilege when granting cloud access
• Promptly notifying us of any unauthorized access at security@nubex.app
• Reviewing and acting on the findings and recommendations we surface

Nubex's recommendations are provided as guidance only. You are solely responsible for evaluating and implementing any changes to your cloud infrastructure.

7. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Connect cloud accounts you do not own or have permission to access
• Attempt to reverse engineer, decompile, or extract our source code
• Use the Service to harm, harass, or abuse others
• Attempt to circumvent plan limits or billing
• Resell or sublicense access to the Service without written permission

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY SPECIFIC SAVINGS WILL BE ACHIEVED. COST ESTIMATES PROVIDED BY NUBEX ARE APPROXIMATIONS ONLY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUBEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

You may cancel your account at any time from the billing settings. We may suspend or terminate your account if you violate these Terms, fail to pay, or if we discontinue the Service.

Upon termination, your right to use the Service ceases. We will delete your data within 30 days of account termination, except where retention is required by law.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved exclusively in the courts of Delaware.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
